Terms of Service & End User License Agreement

1. Agreement

These Terms of Service and End User License Agreement (the “Agreement”) are between you and EganAI, LLC (“we”, “us”), the publisher of BreadCode (the “Software”). By purchasing a license, downloading, or using the Software you agree to this Agreement.

2. License grant

Subject to your payment of the applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on up to 2 machines that you own or control, for your own internal use. The Software is licensed, not sold, and is closed-source; all rights not expressly granted are reserved.

3. License keys and activation

Licenses are issued as license keys after checkout through Stripe, our payments provider and merchant of record. You must keep your key confidential. The Software validates your key periodically and continues to operate for up to 7 days without a successful online validation. We may deactivate keys obtained fraudulently or used in breach of this Agreement.

4. Third-party agent services

The Software orchestrates third-party command-line coding agents (such as Claude Code, Codex, and Cursor) that you install and subscribe to separately. Your use of those services is governed solely by their providers’ terms; we do not resell, proxy, or guarantee them, and we are not responsible for their output, availability, or pricing.

5. Your code and responsibility

The Software runs on your machine and operates on repositories you choose. You are responsible for the repositories you point it at, for reviewing changes it merges, and for maintaining backups. The Software provides verification gates and revert tooling, but you remain responsible for what you ship.

6. Restrictions

  • No reverse engineering, decompiling, or circumventing license enforcement.
  • No redistribution, resale, rental, or sublicensing of the Software or keys.
  • No use of the Software to violate law or third-party rights.

7. Updates and availability

Updates are included while your license is active. We may add, change, or remove features. If your subscription lapses or your license key can no longer be validated, the Software will continue to operate for a short offline grace period and will then stop launching until a valid license is restored. Your projects are ordinary git repositories on your own disk and remain fully accessible with or without the Software.

8. Refunds

If BreadCode isn’t working out, you may request a full refund of your first subscription payment within 14 days of the initial purchase. Renewal payments are not refundable, but you can cancel at any time and keep access through the end of the paid period. Refunds are processed through Stripe. 9. Disclaimer of warranty

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AUTONOMOUS CODE CHANGES CARRY INHERENT RISK; YOU USE THE SOFTWARE AT YOUR OWN RISK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR REVENUE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Termination

This Agreement terminates automatically if you breach it. Upon termination you must stop using the Software and destroy all copies.

12. Governing law

This Agreement is governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules.
